1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Interactly Solutions Pvt Ltd ("Company," "we," "us," or "our") governing your access to and use of Digie.bot and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Digie.bot is an AI-powered sales assistant that integrates with your business tools including CRM systems, email, calendar, and communication platforms. The Service provides:

• Proactive task prioritization and daily briefings
• AI-generated insights, recommendations, and action suggestions
• Integration with third-party business applications
• Multiple operating modes (Act, Watch, DNI) for user control
• Custom skill creation and workflow automation

3. Account Registration

To use certain features of the Service, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Subscription Plans and Payment

4.1 Free Tier

We offer a free tier with limited features. Free tier users are subject to usage limitations as described on our pricing page.

4.2 Pro Subscription

Pro subscriptions are billed monthly or annually as selected at signup. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months or unused portions of the subscription, except as required by law.

5. Acceptable Use

You agree not to use the Service to:

• Upload malware, viruses, or other harmful code

You retain ownership of any content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and display such content solely for the purpose of providing and improving the Service.

8. AI-Generated Content

The Service uses artificial intelligence to generate recommendations, drafts, and insights. You acknowledge that:

• AI-generated content is provided as suggestions and may contain errors
• You are responsible for reviewing and verifying AI outputs before use
• AI recommendations do not constitute professional, legal, or financial advice
• We do not guarantee the accuracy, completeness, or reliability of AI outputs

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERACTLY SOLUTIONS PVT LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Interactly Solutions Pvt Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe:

• Violates these Terms or any applicable laws
• Is harmful to other users, third parties, or our business interests
• Involves fraudulent or illegal activity

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

13. Governing Law and Disputes

These Terms shall be governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
